Terms of Use
These terms govern your access to and use of LicenseBox.
1. Acceptance of these terms
By creating an account, purchasing a license, or using any part of LicenseBox (the "Service"), you agree to be bound by these Terms of Use. If you do not accept them, you must not use the Service.
If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.
2. What the Service does
LicenseBox sells and manages software licenses. A license is bound to the IP address or addresses you register, and the software installed on your server periodically contacts our verification endpoint to confirm that the license is still valid.
We may also provide an installation helper that fetches signed commands from us. You are responsible for reviewing what you run on your own servers.
3. Your account
You must provide accurate registration and billing information and keep it up to date. You are responsible for all activity that occurs under your account and for keeping your password and API keys confidential.
Notify us immediately if you believe your account or any API key has been compromised.
4. License terms
Licenses are granted for the product, term and IP quota shown at the time of purchase. They are non-exclusive and non-transferable unless we agree otherwise in writing.
You may not resell, sublicense, redistribute or share a license outside the scope you purchased. Reseller accounts are governed by the separate terms shown when the reseller account is approved.
You may not circumvent, disable, reverse engineer or interfere with the license verification mechanism.
5. Payment, renewal and refunds
Fees are stated at the time of purchase and are payable in advance. Taxes are added where applicable.
A license that is not renewed before the end of its term is suspended and the software it protects may stop functioning. Reinstating a suspended license may require a new purchase.
Because licenses are delivered digitally and take effect immediately, payments are non-refundable except where a refund is required by applicable law.
6. Acceptable use
You may not use the Service to break any law, infringe anyone's rights, distribute malware, attack or overload our infrastructure, or attempt to gain unauthorised access to any system or account.
We may rate-limit, suspend or terminate access that we reasonably believe threatens the Service or other customers.
7. No warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY.
To the fullest extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy and non-infringement.
We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or that verification requests will always succeed. You are responsible for testing the Service for your own purposes before relying on it.
8. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE ACCEPT NO LIABILITY OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.
This includes, without limitation, any direct, indirect, incidental, special, consequential, punitive or exemplary damages; loss of profit, revenue, business, goodwill, data or anticipated savings; service interruption; server downtime; failed or delayed license verification; loss or corruption of data; or the acts of any third party — whether based in contract, tort, negligence, strict liability or any other legal theory, and whether or not we have been advised of the possibility of such damage.
You use the Service, and install anything obtained through it on your own servers, entirely at your own risk. You are solely responsible for maintaining your own backups and business continuity arrangements.
Where liability cannot lawfully be excluded, our total aggregate liability for all claims is limited to the amount you actually paid us for the license giving rise to the claim during the twelve (12) months before the event that caused it.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you; your mandatory statutory rights as a consumer are unaffected.
9. Indemnity
You agree to indemnify and hold us harmless against any claim, loss, liability, cost or expense (including reasonable legal fees) arising from your use of the Service, your content, or your breach of these terms.
10. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these terms, if payment fails, or if we are required to do so by law.
Sections that by their nature should survive termination — including licensing restrictions, disclaimers, limitation of liability and indemnity — continue to apply.
11. Changes to the Service and these terms
We may modify, suspend or discontinue any part of the Service, and we may update these terms. Material changes will be reflected in the "last updated" date on this page. Continuing to use the Service after a change means you accept the updated terms.
